EGM During COVID-19 through video conferencing / OAVM With Draft NotICE
EGM refers to Extra – Ordinary General Meetings, called by a company other than scheduled annual meeting (AGM) to deal with urgent matters (Special Businesses).
As per Clause 2.2. of Revised SS-2,
Items of business other than Ordinary Business may be considered at an Extra-Ordinary General Meeting or by means of a postal ballot, if thought fit by the Board.
Procedure to conduct the extraordinary general meeting (EGM) through video conferencing / Other Audio Visual Means (OAVM)
i. The extraordinary general meeting can be conducted via video conferencing / OAVM post ensuring that the Company has facility for video conferencing / OAVM and each person is comfortable with that.
ii. The company shall ensure that the facility allows two-way teleconferencing
iii. The notice of the meeting should contain the following details:
Who are allowed to attend the meeting without following the first-cum-first rule:
i. Shareholders holding 2% or more shares;
ii. Promoters;
iii. Directors;
iv. Key Managerial Personnel;
v. Chairpersons of Audit Committee;
v. Chairpersons of Nomination and Remuneration Committee;
vi. Chairpersons of Stakeholder Relationship Committee;
vii.Auditors, etc.
Who are required to mandatory attend the meeting through VC/OAVM:
i. At least one Independent Director, if applicable on the company;
ii. Auditor of the Company;
iii. In the absence of auditor, the authorized representative of the auditor who is qualified to be an auditor.
Joining of the Meeting: The meeting should be 15 minutes before the time of the meeting and 15 minutes after the start of the meeting.The company shall provide the e-voting in case the company has an e-voting system and should not if the company does not have e-voting.
Latest MCA Updates on EGM – (During Covid19)
1. In view of the continuing restrictions on movement of people because of covid-19 lockdown, MCA vide General Circula1 No. 22/2020 dated 15.06.2020 has extended Time Limit for EGMs till 30th Sep 2020.
2. This Ministry has issued General Circular No. 14/2020 on 8th April 2020 and General Circular No. 17/2020 on 13th April 2020 for providing clarifications on the passing of ordinary and special resolutions by companies by holding extraordinary general meetings (EGMs) through video conferencing (VC) or other audiovisual means (OAVM) or the passing of certain items only through postal ballot without convening the general meeting. The framework provided in the said Circulars allows companies to hold relevant EGMs or transact relevant business through postal ballots, as per the procedure specified therein, up to 30th June 2020 or till further orders, whichever is earlier.

1. The shareholders should log on to the e-voting website www.evotingindia.com.

ii. In case the sequence number is less than eight digit then enter the applicable number of Zero(s) before the Number, after the first two characters of the name in CAPITAL Letters. Eg. If your name is Ramesh Kumar with sequence Number 1, then enter RA00000001 in the PAN field |
Dividend Bank Details / Date of Birth (DOB) |
Enter the Dividend Bank Details or Date of Birth (in dd/mm/yyyy format) as recorded in your demat account or in the company records in order to login. i.If both the details are not recorded with the Depository or the Company, please enter the Member ID/ Folio Number in the Dividend Bank details field as mentioned in instruction (iii) above. |
7. After entering these details appropriately, click on “SUBMIT” tab.
8. Members holding shares in physical form will then directly reach the Company selection screen. However, members holding shares in demat form will now reach “Password Creation? menu wherein they are required to mandatorily enter their login password in the new password field. Kindly note that this password is to be also used by the demat holders for voting for resolutions of any other company in which they are eligible to vote, provided that company opts for e-voting through CDSL platform. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential.
9. For Members holding shares in physical form, the details can be used only for e- voting on the resolutions contained in this Notice.
10. Click on the EVSN of ………………. LTD to vote.
11. On the voting page, you will see “RESOLUTION DESCRIPTION” and against the same the option “YES/NO” for voting. Select the option YES or NO as desired. The option YES implies that you assent to the Resolution and option NO implies that you dissent to the Resolution.
12. Click on the “RESOLUTIONS FILE LINK” if you wish to view the entire Resolution details.
13. After selecting the resolution you have decided to vote on, click on “SUBMIT”. A confirmation box will be displayed. If you wish to confirm your vote, click on “OK”, else to change your vote, click on “CANCEL” and accordingly modify your vote.
14. Once you “CONFIRM” your vote on the resolution, you will not be allowed to modify your vote.

16. If Demat account holder has forgotten the changed login password then Enter the User ID and the Image Verification Code and click on Forgot Password & enter the details as prompted by the system.
17. Shareholders can also cast their vote using CDSL?s mobile app m-Voting application. The m-Voting app can be downloaded from Google Play Store. Apple and Windows phone users can download the app from the App Store and the Windows Phone Store respectively. Please follow the instructions as prompted by the mobile app while voting on your mobile.
18. Note for Non – Individual Shareholders and Custodians
a. Non-Individual shareholders (i.e. other than Individuals, HUF, NRI etc.) and Custodian are required to log on to www.evotingindia.com and register themselves as Corporates.
b. A scanned copy of the Registration Form bearing the stamp and sign of the entity should be emailed to helpdesk evoting@cdslindia.com.
c. After receiving the login details a compliance user should be created using the admin login and password. The Compliance user would be able to link the account(s) for which they wish to vote on.
d. The list of accounts linked in the login should be mailed to helpdesk.evoting@cdslindia.com and on approval of the accounts they would be able to cast their vote.
e. A scanned copy of the Board Resolution and Power of Attorney (POA) which they have issued in favour of the Custodian, if any, should be uploaded in PDF format in the system for the scrutinizer to verify the same.
19. Any person, who acquires shares of the Company and becomes Member of the Company and holds shares as on the cut-off date i.e. Wednesday, May 13, 2020 may follow the same instructions as mentioned above for remote e-Voting.

In view of the extraordinary circumstances due to COVID-19 pandemic prevailing in the country, MCA vide its Circular No. 14/2020 had clarified that social distancing is a pre-requisite in the current scenario and in reference to clarifications/ Guidance on applicability of Secretarial Standards on General Meetings (SS-2) dated April 15, 2020 (https://www.icsi.edu/media/webmodules/Guidance_on_SS-2_15042020.pdf ),
