If you’re planning to join the Independent Directors’ Data Bank maintained by the Indian Institute of Corporate Affairs (IICA) at Manesar, you’ve probably come across the online proficiency self-assessment test. The good news? Not everyone has to take it.
Here’s a clear breakdown of who gets a pass - literally.
Under the rules, an individual is deemed to have passed the test by scoring at least 50% in aggregate, and there’s no cap on the number of attempts you can make. So even if the test applies to you, it’s far from a one-shot deal.
But two distinct categories of people don’t need to sit for it at all.
You’re exempt if, as on the date your name is included in the data bank, you have served for a total of not less than three years in any of the following capacities:
As a director or key managerial personnel in:
As a senior government officer - in the pay scale of Director or equivalent (or above) in any Ministry or Department of the Central or State Government, with experience handling commerce, corporate affairs, finance, industry, public enterprises, or the affairs of Government companies and statutory corporations engaged in commercial activities.
As a senior regulator - in the pay scale of Chief General Manager or above at SEBI, the RBI, IRDAI, or the PFRDA, with experience in corporate laws, securities laws, or economic laws.
One important catch on counting time: If you held director or KMP roles in two or more companies simultaneously, that overlapping period counts only once toward the three years. No double-dipping.
The second exemption is cleaner. You don’t need to take the test if you are, or have been, for at least ten years, any of the following:
A decade in these professions is treated as proficiency enough.
The exemptions reflect a simple logic: the test exists to verify familiarity with corporate, securities, and economic law - and if your track record already demonstrates that familiarity, whether through three years in the boardroom (or its government/regulatory equivalent) or ten years in a recognised profession, the law trusts your experience.
If you fall outside both categories, the test awaits — but with a 50% threshold and unlimited attempts, it’s a manageable hurdle.
